Terms of Use

1. Acceptance of Terms

By accessing or using TeamWeaver ("the Service"), operated by TeamWeaver, Inc. ("TeamWeaver," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service constitutes acceptance of any updates to these Terms.

2. Description of Service

TeamWeaver is a business-to-business (B2B) SaaS platform that analyzes team collaboration patterns. The Service connects to workplace communication tools (including Slack, Microsoft Teams, GitHub, and Google Calendar), extracts behavioral signals grounded in peer-reviewed research, and provides team-level insights and coaching through an AI assistant called Basil.

TeamWeaver provides team-level analytics only. The Service does not produce individual performance scores or comparisons between individual team members.

3. Account Registration and Responsibilities

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Organization administrators ("Admins") are responsible for managing their organization's account, including authorizing integrations, managing team members, and configuring analysis settings. Admins represent that they have the authority to connect third-party tools and grant TeamWeaver access to workplace data on behalf of their organization.

You must notify us immediately at legal@teamweaver.ai if you become aware of any unauthorized use of your account.

4. Acceptable Use Policy

You agree not to:

  • Use the Service to monitor, surveil, or evaluate individual employee performance, or to make employment decisions based on individual-level data derived from the Service.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service, including its signal extraction algorithms, pattern detection models, or AI systems.
  • Use the Service in any manner that violates applicable laws or regulations, including data protection and privacy laws.
  • Interfere with or disrupt the Service or its infrastructure, including circumventing rate limits, security measures, or access controls.
  • Resell, sublicense, or provide access to the Service to third parties without our prior written consent.
  • Upload or transmit malicious code, or use the Service to distribute spam, malware, or other harmful content.
  • Misrepresent your identity or affiliation when creating an account or connecting integrations.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using the Service, you consent to the data practices described in our Privacy Policy.

TeamWeaver processes communication metadata and content from connected integrations to extract behavioral signals. Message content is processed in real-time and is not stored long-term. Only derived signal values (numerical metrics and pattern indicators) are retained.

Organization Admins are responsible for informing their team members about TeamWeaver's use within the organization and for ensuring compliance with any internal policies and applicable data protection laws. As a B2B service, the Admin acts as the data controller for their organization's data, and TeamWeaver acts as the data processor.

You retain ownership of the data you provide to us. We do not sell your data to third parties.

6. Intellectual Property

The Service and all associated technology, including but not limited to the signal extraction methodology, pattern detection algorithms, AI models, research-backed behavioral frameworks, software, documentation, designs, and trademarks, are and remain the exclusive property of TeamWeaver, Inc. and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and your subscription plan. This license does not include the right to copy, modify, distribute, or create derivative works from any part of the Service.

The insights, reports, and analysis outputs generated by the Service for your organization are licensed to you for your internal business use. The underlying methodology, algorithms, and research frameworks used to generate those outputs remain our proprietary property.

7. Subscription and Billing

TeamWeaver offers subscription-based access across multiple tiers: Free, Pro, and Enterprise. The features, limits, and pricing for each tier are described on our Pricing page.

Paid subscriptions are billed on a recurring monthly or annual basis, as selected at the time of purchase. Payment is due at the beginning of each billing cycle. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

We reserve the right to change our pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice period.

If payment fails or your subscription lapses, we may downgrade your account to the Free tier or suspend access to paid features until payment is resolved.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis.

We may perform scheduled maintenance, deploy updates, or temporarily suspend the Service for operational reasons. We will make reasonable efforts to provide advance notice of planned downtime.

The Service depends on third-party integrations (Slack, Microsoft Teams, GitHub, Google Calendar, and others). We are not responsible for outages, API changes, or data availability issues caused by third-party providers.

Enterprise customers may be eligible for a separate Service Level Agreement (SLA) with specific uptime commitments. Contact legal@teamweaver.ai for details.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TeamWeaver does not warrant that the insights, signals, or recommendations provided by the Service are accurate, complete, or suitable for any particular purpose. The Service provides informational insights based on communication pattern analysis and should not be used as the sole basis for organizational decisions.

AI-generated content, including outputs from the Basil assistant and Tier 4 narrative insights, is produced by machine learning models and may contain inaccuracies. You should exercise independent judgment when acting on AI-generated recommendations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEAMWEAVER, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO TEAMWEAVER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Termination

You may terminate your account at any time through the Settings page in the Service or by contacting us at legal@teamweaver.ai. Upon termination, your right to use the Service ceases immediately.

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users or the Service, or for any other reason at our sole discretion.

Upon termination, we will delete your account data in accordance with our Privacy Policy. You may request a data export before terminating your account. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) will survive.

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. The "Effective Date" at the top of these Terms indicates the date of the most recent revision.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or other representative proceeding.
